Preparation for international examinations

Unipage, a company with limited liability, hereinafter referred to as the Contractor, offers any individual, hereinafter referred to as the Customer, paid services for selecting a tutor, choosing the appropriate training course, agreeing with the tutor on the optimal duration of the course to achieve the required results, and paying for the agreed upon cost, content, and duration of the course.

1. The procedure for concluding an Agreement.

   1.1. The text of this Agreement is a public offer (in accordance with paragraph 2 of Article 437 of the Civil Code of the Russian Federation). The text of this Agreement is published on the Contractor's website at https://www.unipage.net/en/service_exam_preparation.

   1.2. Acceptance of the offer to conclude an Agreement is the payment by the Customer of the ordered services by prepayment in the manner determined by this Agreement. Acceptance by the Customer of this Agreement means that he fully agrees with all of the provisions of this Agreement.

   1.3. From the moment of acceptance by the Customer, this Agreement is considered concluded. In confirmation of the conclusion of this Agreement, and in the course of its execution, the Customer receives information letters to the e-mail specified by the Customer when registering on the Contractor's website.

   1.4. This Agreement comes into force from the moment of its conclusion and is valid until the Parties fulfill their obligations under it, unless otherwise provided by this Agreement and the legislation of the Russian Federation.

   2. Subject of the Agreement.

   2.1. In accordance with this Agreement, the Contractor undertakes to provide the Customer with the following services:

   1. selection of a Tutor
   2. selection of the appropriate training course
   3. coordination with the Tutor of the optimal duration of the course to achieve the desired result
   4. making payment for a course agreed upon in terms of cost, content, and duration with the Tutor
   5. conducting lessons with a Tutor
   6. (hereinafter referred to as Services), and the Customer undertakes to accept these Services and pay for them in accordance with the conditions stipulated by this Agreement.

   2.2. The number of lessons conducted in accordance with this Agreement is determined by the number of lessons paid by the Customer and agreed upon with the Tutor in advance before the payment is made.

   3. Procedure for the provision of Services.

   3.1. The provision of Services is carried out solely on the condition that the Customer complies with the obligation to pay, provided for in Section 4 of this Agreement.

   3.2. In order to provide Services under this Agreement, the Contractor has the right to engage third parties (hereinafter referred to as Tutors).

   3.3. Prior to the immediate commencement of the provision of Services, and prior to their payment by the Customer:

   3.3.1. The Contractor provides the Customer with a description of the Tutor that is most suitable for the Customer's profile and the purpose of training.

   3.3.2. The Customer is provided with a trial lesson with the selected Tutor, the duration and cost of which (if the trial lesson is not free) is specified individually at the Tutor selection stage.

   3.3.3. The Customer and the Tutor directly agree on all issues related to the purpose of the course, the expected result, the schedule, content, and format of lessons, the duration of one lesson and the whole course, etc.

   3.4. One lesson can last 30 (thirty), 45 (forty-five), 60 (sixty), 90 (ninety) or 120 (one hundred and twenty) minutes, depending on the duration of the lessons agreed with the Tutor and paid by the Customer.

   3.5. The provision of Services is carried out in any possible way: in person by agreement (if the Customer and the Tutor live in the same city), or via the Internet using software that provides voice and video communication between the Customer and the Tutor (Skype, Zoom, and other similar programs).

   3.6. The methodology and format of lessons is determined directly by the Tutor, taking into account the wishes of the Customer.

   4. Payment for Services. Reception-transfer of Services.

   4.1. The cost of the Contractor's Services and possible payment methods are published by the Contractor at https://www.unipage.net/en/services in the "Preparation for international examinations" section. While the table shows the preliminary cost per hour, it can be adjusted according to the exam, experience, and qualifications of the Tutor. The actual cost of Services is indicated to the Customer at the offer stage of the corresponding Tutor.

   4.2. Payment for the Services is carried out on the basis of a 100% prepayment for the number of lessons, previously agreed upon with the Tutor, by paying according to the invoice issued by the Contractor or provided link — payment by card. In the event that it is necessary to extend the period of lessons with the Tutor, the Customer is obliged to pay for the next lesson no later than 24 (twenty-four) hours before the start of the next scheduled lesson. In the event that the Customer fails to fulfill this obligation, the Contractor has the right to cancel the Customer's schedule and put time with other persons in the previously reserved place for the Customer.

   4.3. The Contractor may unilaterally change the cost of Services, having previously notified the Customer 3 (three) calendar days before the date of change in the cost of Services by sending an electronic message, while any paid lessons are subject to execution at the agreed rate without changes.

   4.4. The moment of payment is considered the receipt of funds to the account of the Contractor. All transaction costs are borne by the Customer.

   4.5. The lesson is considered properly conducted if, within 1 (one) hour from the moment of its holding, the Customer does not inform the Contractor in the manner prescribed by paragraph 5.2.2 of this Agreement that it did not take place due to the fault of the Tutor or the Contractor.

   4.6. The Customer independently pays for all Services for the organization of communication necessary for the consumption of the Services of the Contractor.

   4.7. The Customer is obliged to independently provide himself with comfortable conditions for conducting online classes (headphones, microphone, stable Internet, etc.) if the online format is chosen.

   5. Rescheduling lessons. Absence from lessons.

   5.1. Rescheduling lessons.

   5.1.1. The rescheduling of the lesson by the Customer can be carried out if the Tutor is notified no later than 24 (twenty-four) hours before the start of the lesson in any way agreed upon with the Tutor and only with the consent of the Tutor. Failure to comply with the specified period is equated to the absence of the Customer from the lesson and is counted as passed, unless otherwise agreed upon individually.

   5.1.2. The Tutor has the right to postpone lessons (in case of illness and for other valid reasons), having warned the Customer. If the Customer believes that the Tutor frequently reschedules lessons, the Customer has the right to apply to the Contractor with a request to change the Tutor.

   5.2. Absence from lessons.

   5.2.1. If the Customer is not available for the Tutor's call at the scheduled time, the Tutor attempts to contact the Customer throughout the duration of the proposed lesson. In this case, the start time of the lesson is considered to be the time set in the lesson schedule. If, as a result of the above procedures, it is not possible to contact the Customer, the lesson is considered to be held and paid in the amount of 100%.

   5.2.2. If the Tutor fails to get in touch at the scheduled time agreed upon with the Customer within 10 minutes, the Customer is obliged to immediately inform the Contractor by contacting the Contractor's manager at the phone number +7 (499) 677-18-64. In this case, the lesson is rescheduled to any agreed time convenient for the Customer.

   5.3. The Contractor is not responsible for the failure to provide the Service due to the Customer's lack of the necessary software or technical problems with the Internet.

   6. Suspension of Services. Annulment of the Agreement.

   6.1. The Customer has the right to cancel this Agreement and demand a refund for remaining lessons, notifying the Contractor at least 24 (twenty-four) hours before the start of the lesson by sending a corresponding email to the Contractor at education@unipage.net.

   6.2. The funds are returned to the Customer for the number of remaining lessons, while 20% is deducted from the compensation amount for the mediation of Services.

   6.3. The Contractor has set a work schedule for receiving calls on any issues from 10:00 to 19:00 on weekdays. Feedback and any information support is not provided on weekends (Saturday and Sunday) and official public holidays, also indicated on https://www. unipage.net/en/contacts in the "Moscow office — Work schedule" section.

   6.4. The Contractor has the right to replace the Tutor for the Customer if there are valid reasons for this (temporary disability of the Tutor, other circumstances), informing the Customer by e-mail education@unipage.net. If the Customer does not want to study with another Tutor, the Customer has the right to suspend the provision of Services until the Tutor returns to his work duties.

   7. Procedure for sending messages.

   7.1. In order to report the rescheduling of lessons, you must:

   7.1.1. send a letter to the e-mail of the Tutor or the Customer, depending on who is rescheduling the lesson (a copy to the Contractor — education@unipage.net)

   7.1.2. contact via messengers agreed upon in advance by the Parties for communication;

   7.1.3. or inform the Contractor's manager about the rescheduling of the lesson by phone +7 (499) 677-18-64.

   7.2. Messages sent to the e-mail or calls attempted after hours, on weekends, or during public holidays in order to reschedule the lesson are considered unacceptable.

   7.3. If the Customer's wishes to increase the number of lessons, change the duration of lessons, change the Tutor, suspend the provision of Services, or cancel the contract, the Customer must send an e-mail to the Contractor at the following e-mail address: education@unipage.net.

   8. Privacy.

   8.1. Information relating to data such as personal and financial information, as well as other data that is provided for strictly restricted access, is confidential.

   8.2. The Party that received such information during the execution of the Agreement obliges not to transfer the information to third parties, and also to ensure such a regime for using information that will prevent its disclosure.

   8.3. Neither of the Parties have the right, without the consent of the other Party, to assign the right to claim from this Agreement to a third party, if such a reassignment is related to the transfer of confidential information received from the other Party, except as otherwise provided by the Legislation of the Russian Federation.

   9. Miscellaneous terms.

   9.1. Services provided in accordance with this Agreement are not organizational and informational. The Contractor does not have a general training program for all Tutors, given that the methodology and format of classes is determined directly by the Tutor individually for each Customer. Based on the results of the execution of this Agreement, the Contractor does not issue any state-recognized documents confirming that the Customer has achieved any level of foreign language proficiency.

   Information and consulting services provided by the Contractor are not educational activities, are not subject to licensing, are not accompanied by final certification, assignment of any qualification, and issuance of a certificate of education.

   9.2. For failure to fulfill or improper fulfillment of obligations under this Agreement, the Parties shall be liable in accordance with the terms of this Agreement and the legislation of the Russian Federation.

   9.3. In the event of force majeure circumstances that the Parties under this Agreement could neither foresee nor prevent by reasonable measures, the deadline for fulfilling obligations under this Agreement is extended in proportion to the time during which such circumstances continue to operate, without compensation for any losses. Such events of a critical nature include: floods, fires, earthquakes, explosions, storms, subsidence of the soil, other natural phenomena, epidemics, war or hostilities, terrorist acts, voltage fluctuations in the electrical network, and other circumstances that led to the failure of the technical means of any of the Parties to the Agreement. The Party, for which a situation has arisen in which it became impossible to fulfill its obligations due to the occurrence of force majeure circumstances, is obliged to immediately (but not later than 5 (five) business days) notify the other Party in writing of the occurrence, estimated duration, and termination of these circumstances. side. In the event of a dispute about the time of onset, duration, and end of force majeure circumstances, the conclusion of the competent authority at the location of the relevant Party will be an appropriate and sufficient confirmation of the beginning, duration and end of these circumstances. Failure to notify or untimely notification of the Party about the beginning of the force majeure circumstances deprives it of the right to refer to them in the future as a basis that exempts from liability for failure to fulfill the obligations under this Agreement. If force majeure circumstances and/or their consequences continue to operate for more than 30 (thirty) calendar days in a row, then the Agreement may be terminated at the initiative of either Party by sending a written notice to the other Party.

   9.4. All disputes or disagreements arising between the Parties under this Agreement or in connection with it shall be resolved through negotiations between them. If the Parties have not reached an agreement, then the Party whose rights have been violated is entitled to refer to the Moscow Arbitration Court in order to protect its rights in the manner prescribed by the legislation of the Russian Federation.
